The French version prevails.

Vectory, sole proprietorship of Marwan BENDIB.

1. Purpose. These terms apply to any video order placed with Vectory by a business customer. The signed quote (or quote accepted in writing) and these terms form the contract. In the event of a conflict, the quote prevails.

2. Offers and prices. Teaser: €390. Full Launch: €790. Options: extra Latin-script language €150, other scripts on quote, express +40%, extra revision round €90, script version beyond the 3rd €90. The content of each offer is the one described on vectory.agency on the date of the quote. VAT not applicable, art. 293 B of the French tax code.

3. Order and payment. The order becomes firm upon written acceptance of the quote and payment of a 50% deposit. The remaining 50% is due at the end of revisions, before the final files are sent. Payment by bank transfer on receipt of invoice. In the event of late payment: penalties at three times the legal interest rate and a fixed €40 indemnity for collection costs (art. L441-10 of the French Commercial Code). No discount for early payment.

4. Timelines. Timelines (4 business days for the Teaser, 7 for the Full Launch) run from receipt of the deposit, the complete brief and access to the product (or screenshots). If the customer takes more than 2 business days to reply to a delivery, delivery is postponed by the same amount. The express timeline is confirmed in writing before the deposit.

5. Script and revisions. The script and the choice of screens are approved in writing before any animation. Three versions of the script are included. Two revision rounds are included after the first version; a round is one consolidated list of feedback, sent in one go by a single contact person. A change of message or flow after the script is approved counts as a round. A product screen modified before the first version is adjusted at no cost; after that, it counts as a round.

6. Customer obligations. The customer provides elements to which it holds the rights (logo, trademarks, supplied music, content) and holds Vectory harmless against any claim in this respect. The customer approves translations and on-screen text.

7. Cancellation. The deposit is non-refundable: it books the slot and covers the script work. If the customer stops the project, nothing further is owed and the customer keeps the approved script. If Vectory is more than 5 business days behind the agreed timeline, excluding delays caused by the customer, the customer may stop the project and the deposit is refunded.

8. Rights. Upon full payment, Vectory assigns to the customer, on a non-exclusive basis for generic elements and on an exclusive basis for the delivered video, the rights to reproduce and distribute the video, worldwide, for the full term of the rights, on all media, paid advertising included. The code and working files remain the property of Vectory and are not delivered. Royalty-free music is used in accordance with its licence.

9. Confidentiality and portfolio. Vectory discloses no information about the customer's product and publishes nothing before its public launch. A non-disclosure agreement can be signed on request. After the launch, Vectory may present the video in its portfolio unless the customer objects in writing. The data shown in the video is fictitious.

10. Warranty. Technical defects (typo, faulty frame, out-of-sync subtitle) reported within 30 days of delivery are corrected free of charge. Content changes are billed as an extra round.

11. Retention. Vectory keeps the project files for 12 months after delivery, so that an update can be made on quote.

12. Liability. Vectory's liability is limited to the amount paid by the customer for the order concerned.

13. Governing law. French law. In the event of a dispute, the parties first seek an amicable solution; failing that, the competent court is the one with jurisdiction over Vectory's registered office.
